Terms of Service

1. Acceptance of Terms

By accessing or using Q the Music ("Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

• You must be at least 13 years of age to use the Platform.
• You must be at least 18 years of age to sell content, receive payouts, or enter into any financial transactions on the Platform.
• If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Q the Music is a music streaming and distribution platform that connects artists directly with their fans. Our services include:

• For Artists: Upload, sell, and distribute music, music videos, and merchandise directly to fans.
• For Listeners: Discover, stream, purchase, and support independent artists.
• For Everyone: A platform that facilitates fair, transparent transactions between artists and fans.

Q the Music is committed to fair artist compensation. A portion of all platform revenue (5%) is donated to the Hue Logan Foundation to support emerging artists and music education.

3. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

You may only have one account per person. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Artist Accounts & Content

Artist Verification

To sell content on Q the Music, artists must complete our verification process, which may include identity verification and tax documentation.

Content Ownership

You retain full ownership of your content. By uploading content to Q the Music, you grant us a non-exclusive, worldwide, royalty-free license to display, stream, distribute, and promote your content on the Platform. This license allows us to operate the service and help you reach your audience.

Content Removal

You may remove your content from the Platform at any time. Upon removal, your content will no longer be available for streaming or purchase, though users who previously purchased your content will retain access.

Prohibited Content

You may not upload content that:

• Contains hate speech, harassment, or promotes violence
• Infringes on copyrights, trademarks, or other intellectual property rights
• Contains illegal material or promotes illegal activities
• Uses AI-cloned vocals of real artists without their explicit written permission
• Is fully AI-generated and misrepresented as human-created
• Contains sexually explicit content involving minors
• Violates any applicable laws or regulations

5. Revenue & Payments

Revenue Share

Q the Music offers industry-leading artist payouts:

• Standard Artists: Receive 70% of revenue from sales and streams
• Premium/Verified Artists: Receive up to 75% of revenue
• Hue Logan Foundation: 5% of gross platform revenue supports emerging artists and music education

Payment Processing

Payments are processed securely through Stripe Connect. To receive payouts, you must connect a valid Stripe account and provide required tax documentation.

Payout Terms

• Minimum Payout Threshold: $50 USD
• Payout Options: Manual request or Automatic (weekly or monthly)
• Processing Time: Payouts are typically processed within 3-5 business days

Taxes

Artists are responsible for reporting and paying all applicable taxes on their earnings. Q the Music may issue tax forms (such as 1099s) as required by law.

6. Collaborations & Revenue Splits

Q the Music supports collaborations between artists with automatic revenue splitting:

• The primary artist sets revenue split percentages when adding collaborators.
• Collaborators with revenue shares must accept the collaboration before the content can be published.
• Credit-only collaborators are automatically accepted and do not receive revenue.
• The Platform automatically distributes earnings based on the agreed splits.
• Disputes between collaborators must be resolved between the parties. Q the Music is not responsible for mediating or resolving collaboration disputes.

7. Listener/Fan Terms

Purchased Content

When you purchase content on Q the Music:

• You receive a personal, non-transferable license to access and enjoy the content.
• Content is for personal, non-commercial use only.
• You may not redistribute, resell, or use purchased content for commercial purposes without the artist's permission.
• Downloaded content may include digital rights management (DRM) to prevent unauthorized sharing.

Refund Policy

Due to the digital nature of our products, all sales are generally final. Refunds may be issued at our discretion in cases of:

• Technical issues preventing access to purchased content
• Duplicate purchases
• Unauthorized transactions (subject to investigation)

8. Prohibited Conduct

You agree not to:

• Harass, abuse, threaten, or intimidate other users
• Post hate speech or content that discriminates based on race, gender, religion, nationality, disability, sexual orientation, or age
• Infringe on copyrights, trademarks, or other intellectual property rights
• Engage in fraudulent activity, including fake streams, fake purchases, or manipulation of platform metrics
• Upload AI-cloned vocals of real artists without explicit written permission
• Upload fully AI-generated content misrepresented as human-created
• Spam, including excessive promotional content or unsolicited messages
• Attempt to circumvent payment systems or platform security
• Use bots, scripts, or automated tools to interact with the Platform without authorization
• Interfere with or disrupt the Platform's operation
• Violate any applicable laws or regulations

9. Intellectual Property

Artist Content

Artists retain full ownership of all content they upload. The license granted to Q the Music is solely for the purpose of operating and promoting the Platform.

Platform Property

Q the Music and its licensors own all rights to:

• The Q the Music name, logo, and branding
• Platform design, code, and technology
• Original content created by Q the Music

You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our express written permission.

10. DMCA / Copyright Policy

Q the Music respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

Filing a Takedown Request

If you believe your copyrighted work has been infringed, submit a written notice to our designated agent including:

• Your physical or electronic signature
• Identification of the copyrighted work
• Identification of the infringing material and its location on our Platform
• Your contact information (address, phone number, email)
• A statement that you have a good faith belief the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

Counter-Notification

If you believe your content was removed in error, you may submit a counter-notification. We will process counter-notifications in accordance with the DMCA.

Repeat Infringer Policy

Q the Music will terminate accounts of users who are determined to be repeat infringers.

11. Disclaimers & Limitation of Liability

Platform Provided "As Is"

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Guarantee of Results

We do not guarantee any specific level of earnings, exposure, streams, or sales. Success on the Platform depends on many factors outside our control.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Q THE MUSIC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Indemnification

You agree to indemnify and hold harmless Q the Music and its affiliates from any claims, damages, losses, or expenses arising from your use of the Platform, your content, or your violation of these Terms.

12. Termination

Termination by You

You may delete your account at any time through your account settings or by contacting us. Upon deletion, your public profile and content will be removed from the Platform.

Termination by Us

We may suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.

Effect of Termination

• Your content will be removed from public view
• Pending payouts will be processed according to our standard schedule, minus any amounts owed to us
• Users who purchased your content will retain access to their purchases
• We may retain certain data as required by law or for legitimate business purposes

13. Changes to Terms

Q the Music may modify these Terms at any time. We will notify users of material changes via email or platform notification. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The "Last Updated" date at the top indicates when the Terms were last revised.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Minnesota. You consent to the personal jurisdiction of such courts.
